Store Agreement

Effective date: 28/10/2026 · Version 3

1. Parties and subject matter

1.1. This Agreement governs the relationship between VISION VENTURES TEKNOLOJİ TASARIM VE PAZARLAMA ANONİM ŞİRKETİ (“Watchlabb”) and the person or business that opens a store on the Platform (the “Store Owner”) in respect of the application, use of the store, plans and closure. A person applying on behalf of a business must be authorised to represent it and to carry out these actions.

1.2. Watchlabb’s address is Caferağa Mah. Şifa Sk. No: 19, Kolektif House, Kadıköy/İstanbul; its MERSİS number is 0925125301600001; its support address is destek@watchlabb.com; and its support telephone number is +90 535 048 51 77. The Platform is the watchlabb.com website and its web-based mobile app.

1.3. This Agreement governs the use of the store. The price of the purchased period and the payment terms are set out in the Preliminary Information Form for Paid Services and the Distance Service Contract for Paid Services for the order. The Membership Agreement and the Platform Terms of Use apply on matters where they do not conflict with this Agreement.

2. Application and verification

2.1. Approved stores appear on the Platform as an “Approved Store”. The two application methods offered on the application screen, applying with social media and applying with company details, are each subject to their own information and document requirements. A label or an application method does not take the place of the commercial activity a person actually carries on or of their obligations under the legislation.

2.2. Eligibility is verified through an Instagram account for an application with social media, and through tax or company registration documents for an application with company details. Opening a store requires an active membership, the required phone verification and identity verification, completion of the application information and a review by Watchlabb. For an application with company details, the trade name, tax or registry details, and documents evidencing authority and business activity may be requested, as appropriate to the application method and the country. It is not assumed that the same list of documents will be requested from every applicant.

2.3. An application is taken under review once the information and documents have been submitted. The submission of an application does not mean that the store has been approved or that a paid period has been purchased. Corrections may be requested where information is missing, additional verification may be carried out, or the application may be rejected for specific eligibility and security reasons.

2.4. Untrue, misleading or unauthorised documents must not be submitted. The applicant is responsible for the information they provide being accurate and up to date, and for their authority to use it. Watchlabb may request additional information or documents of authority that are necessary and proportionate.

2.5. The Agreement is concluded when electronic acceptance is given to the text shown during the application. Store status may be used only once approval and the related activation conditions have been completed.

3. Approval and paid period

3.1. The initial status, period of use and end date of an approved store are shown in the application result and in the store panel. Rights relating to plan fees, durations and promotions are governed by clause 9.2.

3.2. Payment of fees is taken through a separate payment screen when the store is in a state that allows payment. A store application does not by itself authorise any charge to a card. There is no automatic renewal or automatic card charge; a separate payment transaction is required for a new period.

3.3. The current paid store product provides a one-year period. For a store whose period is still running, a renewal is added to the end of the remaining period; for a store whose period has expired, the period starts after successful payment. The specific start and end dates are shown on the payment screen and in the finalised order record.

3.4. Plan entitlements, durations, the price including taxes and the terms of any promotion are disclosed before purchase. Moving to a higher plan by paying only the price difference, carrying unused entitlements over to the following year, or having each limit restored when a listing is deleted do not constitute acquired rights unless expressly offered.

3.5. If the store is not renewed, its access and publication status may change upon expiry; new store transactions may be restricted, and the store’s listings may be unpublished or deactivated. Expiry does not mean that completed sales and ongoing Trink transactions are automatically deleted.

4. Store usage rights

4.1. An active store may manage its store profile, create listings and edit its existing listings within the features and plan entitlements offered. Participation in Trink is enabled separately and requires acceptance of its own terms.

4.2. Listings of eligible active stores may be published automatically under the current publication rules, without waiting for prior editorial approval of each listing. Watchlabb may hold back, remove or subject to additional verification any listing that is risky, breaches the rules or needs to be reviewed again. Automatic publication is not an exemption from oversight.

4.3. The store may put its watches up for auction in accordance with the Auction Rules; a PASS is required to bid in an auction. Plan limits apply to the extent stated on the transaction screen.

4.4. The display of a credit card, instalment, trade-in or other payment/service option on a store profile is the store’s own statement that it offers that option; it does not mean that Watchlabb collects the price of the watch or undertakes that service on the store’s behalf.

4.5. A plan does not guarantee any particular number of sales, profit, customers, views or offers. The service Watchlabb undertakes is to provide the purchased usage and publication rights to the extent described.

5. Obligations of the Store Owner

5.1. The Store Owner must protect their account and sessions and must not share login codes with unauthorised persons. They must give notice when the authority of a person acting on behalf of the business ends or when the store’s information changes. No one may act as if sub-user or delegation-of-authority features exist where the system does not expressly offer them.

5.2. The store declares that it owns, or is authorised to sell, the watch it lists, and that the product is original and its sale is lawful. Descriptions and images must be accurate; known faults, replaced parts, anything missing and important features must not be concealed.

5.3. Sale prices, availability and contact details must be kept up to date. Non-genuine offers, misleading prices, repeated misleading listings, misleading consumers, transacting under a third party’s identity or account and misuse of complaint procedures are prohibited.

5.4. In its own watch sales, the store must fulfil the obligations it bears as seller in respect of documents, the product, non-conformity, hand-over, consumers, commercial electronic messages and other matters. Watchlabb membership or store approval does not replace these obligations.

5.5. Contact and transaction details of other members may be used only for the purpose of the relevant transaction. They must not be used for marketing without permission, to exert pressure, for disclosure or to build another database.

6. Watchlabb’s role and its limits

6.1. Watchlabb is neither a party to nor an agent in the store’s ordinary watch sales; it does not act as guarantor for payment of the sale price, hand-over of the watch or the other party’s obligations. No commission is charged on watch sales through ordinary listings. Doping and store plans, and the Trink service fee, are separate from this.

6.2. The acceptance of a store on the basis of a reference, the review of its documents or the verification of its identity does not mean that Watchlabb has physically inspected all products or that it guarantees the store’s past and future transactions.

6.3. The publication of a listing with photographs and a description is not a guarantee by Watchlabb as to the product’s originality, ownership or working condition. Watchlabb carries out its own paid service, and the tasks it actually undertakes in Trink, in accordance with the relevant terms.

7. Review, suspension and termination

7.1. In cases of untrue documents, misleading listings, problems of authority, security risks, suspected fraud, serious or repeated breaches of the rules, and requests from competent authorities, Watchlabb may request additional information, restrict listings, suspend the store or terminate the agreement.

7.2. Where there is an urgent risk, temporary measures may be taken without prior notice while the review is in progress. Where this is legally possible and does not compromise the security of the review, reasons are given, and explanations and objections are accepted through official support. A single complaint is not treated as a definitive finding of fraud without review.

7.3. Having made a payment does not confer a right to keep a store that is in breach open. On suspension or termination, the status of paid entitlements is assessed according to the nature of the breach, the service provided and the paid services contract. Watchlabb does not impose fines, contractual penalties or withdrawal penalties. In Trink Saat, if repeated, unjustified withdrawal from purchases of watches that match the report is found to constitute abuse, the Store’s participation in this service may be restricted or terminated under the relevant Trink terms.

8. Closing the store

8.1. The Store Owner may submit a closure request from the actions area of the My store section. Following the request, the store may be placed in closing status; new transactions may be restricted, and Trink offers still at the open offer-collection stage may be invalidated. The effect of closure on listings, page access and ongoing matters is shown at the time of the request.

8.2. A closure request does not automatically cancel a completed watch sale or a finalised Trink obligation. Outstanding hand-overs, payments and watch returns are completed; where necessary, the support team coordinates between the parties.

8.3. Merely not using a duly started service, leaving the store empty or closing it voluntarily does not automatically give a right to a refund of fees for the remaining period, other than under any applicable right of withdrawal and mandatory rights. Shortfalls in performance attributable to Watchlabb and statutory rights are assessed separately.

8.4. Closing a store does not mean that the membership account and all personal data are deleted at the same time. Membership deletion and data requests can be made through their own procedures. Unnecessary documents are deleted; legally required transaction and acceptance records may be retained, limited to the relevant purpose and period. Opening a store again may be subject to new eligibility and review conditions.

9. Records, changes and disputes

9.1. The accepted version of the agreement, the person who accepted it, the application or store, and the time of acceptance are recorded and linked together. Order documents, periods and amounts are stored separately. The records do not exclude other lawful evidence or the right to object.

9.2. Watchlabb reserves the right to change the content, fees and durations of store plans, store features and how the service operates, to create promotions, to change the terms of promotions or to end promotions. Updated terms take effect on the date of publication, and material changes are announced in the store panel; no fresh acceptance is required. A period already paid for runs to completion on the terms under which it was purchased. Personal data and optional messaging permissions are managed separately under the relevant documents.

9.3. Watchlabb’s liability for wilful misconduct or gross negligence, and liabilities that cannot be excluded by law, are reserved. Turkish law and mandatory rules of jurisdiction apply. Contacting support does not remove the right to apply to the competent courts, consumer arbitration committees and administrative authorities.
