Distance Service Contract for Paid Services

Effective date: 27/10/2026 · Version 2

1. Parties and contact details

1.1. This Contract is concluded electronically between the service provider VISION VENTURES TEKNOLOJİ TASARIM VE PAZARLAMA ANONİM ŞİRKETİ (“Watchlabb”) and the person or business that orders a paid service through watchlabb.com (the “Service Recipient”).

1.2. Watchlabb’s address is Caferağa Mah. Şifa Sk. No: 19, Kolektif House, Kadıköy/İstanbul; its MERSİS number is 0925125301600001; its tax office is Kadıköy; its tax number is 9251253016; its e-mail address is destek@watchlabb.com; and its support phone number is +90 535 048 51 77.

1.3. The name or trade name, contact details and address of the Service Recipient, together with the number and date of the order, are shown in the “Order details” section, which forms part of this Contract. A person placing an order on behalf of a business must be authorised to do so.

2. Subject and scope

2.1. This Contract governs the distance purchase of the listing promotion/Doping, store period and auction PASS services offered by Watchlabb itself. It is not a contract for the purchase and sale of a watch; it does not mean that the price of a watch is collected through a secure payment or escrow system.

2.2. The scope of the auction PASS is explained in section 6 of this Contract and in the Doping, Store Plan and PASS Rules.

2.3. The Preliminary Information Form, the order-specific service description and the amounts form an integral part of this Contract. The store terms of use and the listing rules also apply separately to the use of the relevant service.

3. Order details and total price

3.1. The Order details section sets out together at least the following: the name and scope of the service; for Doping, the listing concerned and the selected type/duration; for a store, the store and the period; for PASS, the duration; the quantity; the list price; any discount; the tax rate and amount; the total payable including all taxes; the currency; any additional costs; the payment method; and the start and end of the service or the time of its completion.

3.2. If the reference currency of the prices differs from the currency of collection, the exchange rate applied and its effect on the total price are shown before payment. The Service Recipient confirms the final total stated on the payment screen. If a new amount or currency arises, the earlier confirmation cannot be used to collect a different price.

3.3. An additional service or cost that was not disclosed before the order is not collected automatically. If there is a difference arising from an instalment or financing option offered by the payment provider, the total of the selected payment plan is shown before confirmation.

3.4. The Service Recipient provides accurate billing and contact details. Correcting the details does not of itself cancel the order price or a service already performed.

4. Formation of the order and payment

4.1. After having had the opportunity to review the service, the total, the Preliminary Information Form and this Contract, the Service Recipient gives their electronic acceptance and confirms the order, which creates an obligation to pay. Pre-ticked boxes or the mere presence of a link do not replace the required acceptance of the transaction.

4.2. Card payments are processed through the iyzico infrastructure on the payment screen. Opening the payment screen or moving to the bank’s authorisation step does not mean successful collection and activation of the service. The outcome is confirmed with the payment provider.

4.3. A failed payment, a discount code that cannot be used or an incomplete payment attempt does not start the paid service. A temporary hold on the card and a final collection are assessed separately.

4.4. If there is a duplicate collection for the same transaction, or an activation problem although payment has been received, the Service Recipient may contact support with the order details. The records are reviewed; a verified duplicate amount is refunded and any missing activation is put right. Statutory rights applicable to a service that cannot be provided at all are reserved.

5. Scope of the Doping services

5.1. Where selected in the order, “Homepage showcase” promotes the listing concerned in the homepage showcase; “Top of list” promotes it in listing results that match the relevant search and filter criteria; and “Metallic frame” displays the listing card with the specified visual frame.

5.2. These services apply for the selected period of 3, 7, 15 or 30 days and start after successful payment has been confirmed. The definitive start and end records apply. Promoted listings may be shown among themselves in rotation or in a varying order; there is no guarantee that a listing will always appear in the same position to every visitor or remain alone in first place.

5.3. “Social media share” covers one share each on Watchlabb’s currently active social media accounts. It is not a time-limited showcase right; the share is made within 48 hours at the latest after successful payment. Unless a different scope is clearly shown in the order, other accounts, a paid advertising budget, continuous resharing and the number of third parties reached are not included.

5.4. Placing a social share in the queue is not the same as the share having been made. Cases where the share has not yet been made, is delayed or cannot be made at all are assessed under their own performance and withdrawal conditions.

5.5. Doping applies only to the listing concerned while it is in an eligible state. While the listing is inactive, no visibility is provided; the timer of time-limited Doping does not stop. If the listing is put back into eligible publication, the remaining time may be used. Closing the listing as sold or deleting it may cause the related Doping and any pending share to end.

5.6. The Service Recipient closing, deleting or keeping the listing inactive of their own accord, or selling the watch earlier, does not automatically freeze the period of a service that has properly started, does not transfer it to another listing and does not on its own require a refund of the price for the remaining period. Statutory rights relating to withdrawal and to non-conforming or incomplete performance are reserved.

5.7. Doping is a service intended to make the listing visible; it is not a guarantee of a sale, offers, customers, income or a particular number of views.

6. Store period, PASS and renewal

6.1. The store service provides the stated period of use for the store shown in the order. The application and eligibility review are subject to the Store Agreement; payment is taken when the store is in a state eligible for payment.

6.2. The current product is a one-year period. For a store whose period is still running, the new period is added to the current end date; for a store whose period has expired, it starts after successful payment. The start and end dates finalised when payment is confirmed are entered in the order record. A change that adversely affects the scope or the total price shown before confirmation is not applied without a new confirmation.

6.3. There is no automatic renewal and no automatic card charge. A person who wishes to continue at the end of the period makes a separate new payment. Unused periods or rights are not carried over to later years unless this is expressly offered.

6.4. The plan provides the opportunity of use for the stated period even if the store is left empty or makes no sales. Unless there is a valid right of withdrawal or a mandatory right, merely not using the store, closing the store or deleting the membership does not of itself require a refund of the price.

6.5. The auction PASS allows the member to whom it is assigned to bid in auctions for the selected period of 1, 3 or 6 months or 1 year. A new purchase by a member who holds a valid PASS is added to the end of the current expiry date; for a member without a valid PASS, the period starts after successful payment. PASS is personal and non-transferable; it is not the price of a watch, a deposit or a guarantee of winning an auction.

6.6. PASS does not renew automatically. Not bidding during the period or not winning an auction does not, apart from statutory rights, freeze the period or give rise to a refund.

7. Request to start and right of withdrawal

7.1. Consumers acting for purposes that are not commercial or professional have, unless an applicable exception exists, a right of withdrawal within fourteen days from the date on which the service contract is concluded, without giving any reason and without paying any penalty. Using an account under the name “individual” or “corporate” does not on its own determine consumer status; the actual purpose of the transaction applies.

7.2. The Service Recipient may expressly request that performance of the service begin at the start time disclosed before the order. For services whose performance begins with the consumer’s approval before the withdrawal period expires, the right of withdrawal cannot be exercised where the conditions of Article 15/1-h of the Distance Contracts Regulation are met. This consequence and the request to start are clearly shown and recorded before payment.

7.3. Where a service is genuinely performed instantly in electronic form, the applicability of Article 15/1-ğ of the same Regulation is assessed separately. Merely calling a product “digital” does not make every time-limited store service, or a social media service that has not yet been performed, instantly completed.

7.4. The right of withdrawal is not deemed to have lapsed in every case merely because payment has been made or a usage right has been assigned, where the service has not actually started or the conditions of the statutory exception have not been met. For a future-dated renewal, the start of the new period is distinguished from the order date.

7.5. Notice of withdrawal may be sent in writing to destek@watchlabb.com or through an official support channel that can be recorded in a durable form. It is sufficient to state clearly the name/trade name, the order number, the service and the wish to withdraw; use of a special form is not mandatory.

7.6. In the event of a valid withdrawal, the price collected for the service is refunded within fourteen days of receipt of the withdrawal notice, in a manner suited to the payment instrument and without any cost to the consumer. Statutory rights arising from incomplete or incorrect information on withdrawal are reserved.

7.7. For commercial/professional purchases that are not consumer purchases, the consumer-specific right of withdrawal without reason is not granted unless separately agreed. General rights relating to a service that is not provided, or is provided in breach of the contract, are preserved.

8. Service disruption, cancellation and refunds

8.1. Watchlabb provides the purchased service within the disclosed scope and period. If a technical problem is reported, the records are reviewed; depending on its nature, correction of the service, making up the missing time or an applicable refund is considered. This provision does not limit statutory elective rights.

8.2. If performance of the service becomes impossible, in consumer transactions this is notified in writing or on a durable medium within three days of the date on which the situation becomes known, and the amounts collected are refunded within fourteen days of the notification. Other rights of performance and termination are reserved.

8.3. A listing or a store may be restricted because of content in breach of the contract, fraud or a security risk. The status of paid rights is assessed together with the service already provided, the nature of the breach, the relevant terms of use and the mandatory provisions. The mere fact that a service fee has been paid does not require content in breach to be kept published.

8.4. Not every cancellation request means a valid withdrawal or an automatic refund. Conversely, no general outcome that removes statutory rights, such as “it is digital, there is no refund under any circumstances”, is applied.

9. Technical requirements and limits of liability

9.1. Use of the service requires internet access and the browser/device conditions supported by the Platform. The publication conditions of the listing may affect how the service is displayed. Unless there is a special installation or a software licence sold separately to the user, no such additional product is deemed to have been provided.

9.2. Watchlabb is responsible for providing the purchased service; it does not guarantee that the watch concerned will be sold, that the buyer will pay or that a third-party social network will achieve a particular reach. Disputes about the item, payment and hand-over between the seller and the buyer of the watch are not the subject of this service contract.

9.3. Third-party outages and events beyond control are assessed according to their own conditions. Watchlabb’s liability for intent and gross negligence, and its liabilities that cannot be excluded by law, are reserved.

10. Documents, records and applications

10.1. The preliminary information, this Contract, the service scope shown and the total are stored, linked to the order and to the document versions. The order-specific copy is provided in a form that the Service Recipient can keep and that is not changed afterwards. A later update to the general text does not of itself change the terms of an earlier order.

10.2. Payment and service notifications may be sent to the extent necessary for the transaction concerned. Marketing consent is managed separately. Personal data are processed in accordance with the relevant privacy notices.

10.3. Requests and complaints may be sent to destek@watchlabb.com or through the official support channels. In consumer transactions, applications may be made to consumer arbitration committees and consumer courts in accordance with the current monetary and jurisdictional rules; in other transactions, to the competent judicial and administrative authorities. Turkish law and the mandatory protective provisions are reserved.

10.4. This Contract is concluded by electronic acceptance and by confirmation of the order, which creates an obligation to pay. Activation of the service is subject to confirmation of successful payment and to the disclosed start time.
